Terms of Service

Welcome. These Terms of Service ("Terms") govern your use of wakeupsiscoffeeroasters.com (the "Site") and any purchase you make from us. By using the Site or placing an order, you agree to these Terms. If you don't agree, please don't use the Site.

The Site is operated by Prosper Vale LLC d/b/a Wake Up Sis Coffee Roasters ("we," "us," "our").

1. Eligibility

You must be at least 18 years old and able to form a binding contract to purchase from us. By placing an order you confirm that you meet these requirements and that the information you provide is accurate and complete.

2. Your account

If you create an account, you're responsible for keeping your login credentials confidential and for all activity under your account. Tell us promptly if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms.

3. Products, pricing, and availability

  • All products are subject to availability. We may limit quantities, discontinue products, or refuse any order at our discretion.
  • Prices are in U.S. dollars and may change without notice. The price that applies is the one displayed at checkout when your order is placed.
  • We work to keep product descriptions, images, and pricing accurate, but errors happen. If a product is listed at an incorrect price or with an incorrect description, we may cancel the order and issue a full refund, even after the order is confirmed.
  • Product photos are representative. Roast color, grind, and packaging may vary slightly between batches.

4. Orders and payment

  • Your order is an offer to buy. We accept it when we send an order confirmation or ship the product.
  • We may cancel or refuse any order, including for suspected fraud, resale, pricing errors, or shipping restrictions. If we cancel a charged order, we refund it in full.
  • You authorize us and our payment processors to charge your selected payment method for the total order amount, including taxes and shipping.
  • You're responsible for applicable sales tax, which is calculated at checkout.

5. Shipping and delivery

  • Delivery estimates are estimates, not guarantees. We're not responsible for carrier delays.
  • Title and risk of loss pass to you when the carrier accepts the package. That said, our Return & Refund Policy covers lost, stolen, and damaged shipments — see that policy for how we handle those situations.
  • You are responsible for entering a correct, complete shipping address.
  • We currently ship to [shipping regions]. We do not ship to [excluded regions, if any].

6. Subscriptions and recurring billing

If you sign up for a subscription:

  • You authorize us to charge your payment method on a recurring basis at the interval and price shown at signup, until you cancel.
  • Your subscription renews automatically until cancelled.
  • You may cancel, pause, or skip anytime from your account or by emailing us, effective for the next billing cycle. Orders already charged and in production can't be cancelled.
  • We'll notify you in advance of any change to your subscription price.
  • Subscription discounts apply only while the subscription is active.

7. Returns and refunds

Purchases are governed by our Return & Refund Policy, which is incorporated into these Terms by reference. In short: coffee is a perishable food product, so we don't accept physical returns, but we replace or refund orders that arrive damaged, incorrect, or never arrive.

8. Health and product disclaimer

Wake Up Sis Coffee with Mushrooms contains coffee and functional mushroom ingredients (Lion's Mane, Cordyceps, Reishi).

These statements have not been evaluated by the Food and Drug Administration. This product is not intended to diagnose, treat, cure, or prevent any disease.

Our products are food and beverage products, not medical advice or treatment. Nothing on the Site is a substitute for guidance from a qualified healthcare provider. Consult your provider before use if you are pregnant or nursing, have a mushroom or caffeine sensitivity, have a medical condition, or take medication. Discontinue use and seek medical attention if you experience an adverse reaction. This product contains caffeine.

Products are manufactured in a facility that may process other ingredients. Review the label for allergen information before consuming.

9. Intellectual property

The Site and its contents — including the Wake Up Sis name, logo, packaging design, brand messaging, photography, copy, and layout — are owned by us or our licensors and protected by U.S. and international intellectual property law.

You may not copy, reproduce, republish, sell, or create derivative works from our content without our prior written permission. You may share links to the Site and use our published social content in ordinary, non-commercial ways (reposting, tagging) so long as you credit us and don't imply endorsement or partnership.

10. Reviews, submissions, and user content

If you post a review, comment, photo, video, or other content to the Site or tag us on social media:

  • You represent that you own it or have the right to share it, that it's accurate, and that it doesn't infringe anyone's rights or violate any law.
  • You grant us a non-exclusive, royalty-free, worldwide, perpetual, transferable license to use, reproduce, modify, adapt, publish, and display that content in our marketing across any channel, with attribution to your handle or first name where appropriate.
  • We may remove, edit, or decline to publish any submission for any reason.
  • Don't post anything unlawful, misleading, abusive, obscene, or that makes health claims about our products.

You are not entitled to compensation for content you submit voluntarily. Paid creator arrangements are governed by separate written agreements.

11. Marketing communications

By providing your email address or phone number, you consent to receive marketing messages from us. Message and data rates may apply for SMS. You can unsubscribe from email at any time using the link in any message, or reply STOP to text messages. Transactional messages about your orders will continue regardless.

12. Promotions and discount codes

Discount codes, promotions, and giveaways may have additional terms, are limited to one per order unless stated otherwise, are non-transferable, have no cash value, and may be modified or withdrawn at any time. Codes may not be combined unless we say so. Abuse of promotions may result in order cancellation.

13. Prohibited uses

You agree not to use the Site to: violate any law; infringe our or anyone's intellectual property; transmit malware; scrape, data-mine, or use automated systems to access the Site; interfere with the Site's security or operation; resell our products without written authorization; or impersonate any person or entity.

14. Third-party sites and marketplaces

The Site may link to third-party websites, and our products may be sold through third-party marketplaces such as TikTok Shop or Amazon. We don't control those platforms and aren't responsible for their content, terms, or practices. Purchases made through a third-party platform are governed by that platform's terms and return policies.

15. Disclaimer of warranties

The Site and its content are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.

16. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Site or our products. Our total liability for any claim will not exceed the amount you paid us for the product giving rise to the claim.

Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

17. Indemnification

You agree to indemnify and hold harmless [Legal Entity Name], its officers, employees, and agents from any claim, loss, or expense (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.

18. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

19. Changes to these Terms

We may update these Terms at any time. Changes take effect when posted, and the "Last updated" date will reflect the revision. Your continued use of the Site after changes are posted means you accept them. Material changes to subscription terms will be communicated to active subscribers directly.

20. Severability and entire agreement

If any provision of these Terms is found unenforceable, the rest remains in effect. These Terms, along with our Privacy Policy and Return & Refund Policy, are the entire agreement between you and us regarding the Site and your purchases, and supersede any prior understanding.
